Migrating File Shares to SharePoint Online

I'm looking at migrating file shares from a File Server that is within a 3rd party datacentre in another country to SharePoint Online. In fact the file share is utilised across the group in other countries, they too will need to migrate this data to SPO .

I think the Quest migration tool I need to use is Content Matrix and I want to know how this will managed the data transfer.

Specifically, is it a client and server model? Does the data transfer pass through the tool in which case I suspect the tool needs to be installed in the data cenre to keep data hops to a minimum and the user would RDP into the tool?
